PUBLIC OFFER AGREEMENT FOR PROVIDING CHARITABLE DONATIONS
1. GENERAL PROVISIONS
1.1. This public offer for providing a charitable donation (hereinafter referred to as the “Offer”) is made in accordance with Article 641 of the Civil Code of Ukraine and constitutes a proposal by the Charitable Foundation “Avides. Help for Ukraine”, a legal entity with identification code 45656709,with its registered office at: 21a Klyma Savura Street, Lutsk ,Volyn region, 43005, Ukraine (hereinafter referred to as the “Foundation”), represented by the Director V.P. Severyn, acting under the Charter, to an unlimited number of legally capable individuals and private legal entities that voluntarily engage in charitable activities (each hereinafter referred to as the “Donor”), to enter into an agreement on the provision of a charitable donation (hereinafter referred to as the “Agreement”) under the terms described in this Offer.
1.2. This Offer becomes effective from the moment it is published on the Foundation’s website at: https://www.helpforukraine.global (hereinafter referred to as the “Website”). This Offer is open-ended and may be amended or withdrawn by the Foundation at any time (prior to its acceptance by the Donor) by posting the relevant information on the Website.
1.3. The Foundation may also enter into charitable donation agreements in other forms and/or under other terms than those specified in this Offer. Donors may contact the Foundation directly to conclude such agreements individually.
2. SUBJECT OF THE AGREEMENT
2.1. The subject of this Agreement is the free and voluntary transfer by the Donor of funds to the ownership of the Foundation as a charitable donation to support the Foundation’s statutory activities. The Donor independently determines the amount of the charitable donation. The Foundation independently determines the directions for using the charitable donation within its statutory activities unless otherwise specified by the Donor in accordance with this Agreement. The purpose of this Agreement is not to obtain profit, either directly or indirectly, by any of the Parties.
2.2. Funds transferred by the Donor under this Agreement shall be recognized as charitable donations in accordance with Article 6 of the Law of Ukraine “On Charitable Activities and Charitable Organizations”.
2.3. If desired, the Donor may indicate the intended purpose of the donation by selecting one of the Foundation’s published humanitarian programs or projects.
3. FOUNDATION’S ACTIVITIES
3.1. The Foundation conducts charitable activities aimed at supporting Ukrainians affected by the war, including those remaining in active conflict zones, by providing food, medicine, evacuation (including medical) transport, and other humanitarian assistance in accordance with its Charter.
3.2. The Foundation’s operations are strictly non-profit.
3.3. Information about the Foundation’s activities, its Charter, and reports on fund utilization are publicly available on the Website.
4. MAKING A DONATION
4.1. The Donor independently determines the amount of the frequency donation.
4.2. Donation are voluntary and not -refundable.
4.3. Under this Offer, donations are used by the Foundation to carry out and support its charitable programs and humanitarian missions in accordance with the Foundation’s Charter and the laws of Ukraine.
By making a donation, the Donor fully agrees to this intended use.
4.4 Methods of donation:
Donations may be made via online payment systems integrated into the Website or by transferring funds directly to the Foundation’s official bank account.
5.RIGHTS AND OBLIGATIONS OF THE PARTIES
5.1. The Foundation undertakes to use all received donations exclusively for the purposes defined by its Charter and Ukrainian law.
5.2. Unless otherwise specified by the Donor, the Foundation reserves the right to independently determine the specific areas and projects for which the funds will be used.
5.3. The Donor has the right to receive information regarding the use of their donation.
The Foundation may publish monthly or quarterly financial and activity reports on the Website, indicating:

Total donations received;

Funds distributed and utilized;

Key humanitarian initiatives implemented during the reporting period.
Upon request, the Foundation may provide additional supporting documentation in compliance with Ukrainian law.
5.4. By making a donation, the Donor confirms that:

They are legally capable and acting voluntarily;

The funds transferred belong to them lawfully and are not subject to any restrictions, encumbrances, or third-party claims;

The funds were not obtained in violation of the Law of Ukraine “On Prevention and Counteraction to Legalization (Laundering) of Proceeds of Crime, Financing of Terrorism and Proliferation of Weapons of Mass Destruction.”
The Foundation reserves the right to request supporting documentation if there are reasonable doubts regarding the origin of funds.
6. ACCEPTANCE OF THE OFFER
6.1. Full and unconditional acceptance of this Offer (hereinafter referred to as the “Acceptance”) is deemed completed when the Donor performs any of the following actions:

Transfers funds via the online payment forms available on the Website; or
-
Transfers funds directly to the Foundation’s bank account.
The moment of Acceptance is the date on which the funds are credited to the Foundation’s account.
6.2. By accepting this Offer, the Donor confirms their full understanding and agreement with its terms, acknowledges the charitable nature of the donation, and consents to the Foundation’s right to use a reasonable portion of the funds for administrative and operational needs, not exceeding the limits set by Ukrainian law.
6.3. The Donor and the Foundation, pursuant to Articles 207, Part 2 of Article 639, and Articles 641–642 of the Civil Code of Ukraine, agree that from the moment of Acceptance, this Agreement shall be considered concluded in writing.
Failure to execute a separate written document does not invalidate the Agreement.
6.4. The Foundation processes the Donor’s personal data provided through the Website and/or payment systems solely for the purpose of fulfilling this Agreement and in accordance with applicable data protection laws.
Details of such processing are described in the Privacy Policy published on the Website.
7. FINAL PROVISIONS
7.1. All relations between the Donor and the Foundation arising from this Agreement shall be governed by the laws of Ukraine.
7.2. The Foundation bears liability for any breach of this Agreement or misuse of funds as provided by Ukrainian law.
7.3. Any disputes or disagreements between the Parties shall be settled through negotiations.
If a settlement cannot be reached, the dispute shall be resolved in court under the jurisdiction of Ukraine.
